Links from sites with lower PR is OK - but they should be "on theme". So if you are in the cosmetic niche - there is little point in exchanging with website in the "shoes" niche.
Google would be suspicious if you did not have low PR links as well - links should be "natural"
From our perspective yes to SEO!! On one of our client property sites 60% of our traffic comes from natural rankings in Google. About 2000 visitors per day - would be dead in the water without them.
Not sure about the general comment about directories - Google in fact says the opposite and recommends use of directories:

Bid Directories - I would like to see the evidence; there are plenty of Bid Directories with high PR.

Have been playing around with Flock (social networking browser) and hence to friendfeed and twitter.
